Terms of Service

Booked Solid Technology provides senior technical consulting services including, but not limited to, software architecture, engineering leadership, AI strategy, and technology advisory. The specific scope, deliverables, timeline, and fees for each engagement are defined in a separate written agreement (Statement of Work (the project-specific agreement detailing scope, timeline, and fees) or engagement letter) between Booked Solid Technology and the client.

Nothing on this website constitutes an offer or guarantee of specific outcomes. Consulting results depend on many factors outside our control, including client implementation, organizational dynamics, and market conditions.

All content on this website — including text, graphics, logos, and design — is the property of Clarity House LLC and is protected by applicable copyright and trademark laws. You may not reproduce, distribute, or create derivative works without written permission.

Ownership of work product created during a consulting engagement is governed by the terms of the applicable Statement of Work. In the absence of a written agreement to the contrary, Booked Solid Technology retains ownership of all methodologies, frameworks, and general intellectual property developed prior to or independently of any client engagement.

To enable effective consulting engagements, clients agree to:

• Provide accurate and timely information necessary to perform services
• Designate an appropriate point of contact with decision-making authority
• Respond to requests for feedback or approval within agreed timelines
• Comply with all applicable laws in connection with their use of our services

Fees for consulting services are established in the applicable Statement of Work or engagement letter. Payment terms are as specified in that agreement. Late payments may be subject to interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

All fees are exclusive of applicable taxes. The client is responsible for all taxes applicable to services rendered, excluding taxes on Booked Solid Technology's income.

Both parties agree to keep confidential any non-public, proprietary information shared during an engagement. This obligation does not apply to information that is publicly available, independently developed, or disclosed by a third party without restriction.

Specific confidentiality obligations for an engagement are governed by the applicable Statement of Work or a separate Non-Disclosure Agreement.

To the maximum extent permitted by applicable law, Booked Solid Technology and Clarity House LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of this website or consulting services, even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising under these terms or any engagement shall not exceed the total fees paid by the client in the three (3) months preceding the claim.

This website and its content are provided "as is" without warranties of any kind, express or implied.

Either party may terminate a consulting engagement as specified in the applicable Statement of Work. In the event of early termination, the client agrees to pay for all services rendered up to the termination date.

We reserve the right to terminate access to this website for any user who violates these terms or engages in abusive behavior.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall first be submitted to non-binding mediation before a mutually agreed-upon mediator in the State of New Hampshire. The parties shall share equally in the mediator's fees.

If mediation fails to resolve the dispute within sixty (60) days of initiation, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the arbitration seated in the State of New Hampshire. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
